PLEASE READ THE FOLLOWING CAREFULLY. THIS IS A LEGALLY BINDING AGREEMENT BETWEEN YOU AS USER OF THE WEBSITE (“USER” OR “YOU”) AND FEIDA TRADE INC. D/B/A METAHERB.US (“METAHERB” OR “WE”). THIS WEBSITE TERMS OF SERVICE AGREEMENT, TOGETHER WITH ALL AMENDMENTS, AND COLLECTIVELY WITH ALL METAHERB RULES AND POLICIES, CONSTITUTE THE “AGREEMENT” BETWEEN YOU AND METAHERB REGARDING YOUR ACCESS TO AND USE OF THE METAHERB WEBSITE (“WEBSITE”). BY ACCESSING OR USING THE WEBSITE, YOU SIGNIFY THAT YOU HAVE READ THE AGREEMENT AND THAT YOU UNDERSTAND AND AGREE TO BE BOUND BY THE AGREEMENT, INCLUDING OUR DISCLOSURE REGARDING THIRD-PARTY SOFTWARE AND DATA COLLECTION.

THIS AGREEMENT CONTAINS IMPORTANT INFORMATION ABOUT THE WEBSITE, INCLUDING FUTURE CHANGES TO THE AGREEMENT, LIMITATIONS OF LIABILITY, PRIVACY INFORMATION, A CLASS ACTION WAIVER, AND A RESOLUTION OF DISPUTES BY ARBITRATION INSTEAD OF IN COURT.

IF YOU DO NOT UNDERSTAND, AGREE TO BE BOUND BY THE AGREEMENT, OR ARE NOT LEGALLY ABLE TO CONSENT (E.G., IF YOU ARE UNDER THE AGE OF 18), YOU MUST NOT USE OUR WEBSITE.

Description of Website

MetaHerb provides information about herbal supplements and health products, including access to personalized product recommendations and subscription-based purchases. By ordering products, you enroll in a subscription, agreeing to pay applicable fees disclosed at purchase. We may use third-party payment processors, and you warrant that you are an authorized user of the provided payment method with accurate information.

Subscriptions auto-renew until canceled. You may cancel via your account or by notifying us in writing at least four (4) business days before the next charge. A reminder email will be sent before each shipment. Failure to cancel will result in shipment and billing. Non-payment may pause shipments, and we reserve the right to modify fees with notice.

Operation

The Website’s features and functionality may change at our discretion. We may withdraw, suspend, or discontinue any feature or service at any time.

Inaccuracies

If a court awards damages, the total shall not exceed $100 USD.

You waive any rights under New York law or any similar principles that would otherwise limit the scope of this release to known or disclosed claims. You expressly release MetaHerb from any and all claims, whether known or unknown, suspected or unsuspected, as permitted under New York law, including as upheld in Centro Empresarial Cempresa S.A. v. América Móvil, S.A.B. de C.V., 17 N.Y.3d 269 (2011).

Indemnity

You agree to indemnify, defend, and hold harmless MetaHerb, its affiliates, and their respective officers, employees, and agents from any claims, liabilities, or expenses (including legal fees) arising from your violation of this Agreement or use of the Website.

Termination

MetaHerb may terminate your access to the Website at any time, with or without cause, without notice. Violations of this Agreement may result in injunctive relief without a bond, in addition to other remedies.

Intellectual Property Infringement Complaints

To report U.S. copyright infringement, provide:

  • A signature of the copyright owner or authorized agent;
  • Identification of the infringed work;
  • Details of the infringing material and its location;
  • Your contact information;
  • A good-faith statement that the use is unauthorized;
  • A statement under penalty of perjury that the information is accurate.

General

Modifications

We may modify this Agreement at any time, posting updates at https://metaherb.us/terms. Changes are effective immediately. If you disagree, stop using the Website.

Access and Use Where Prohibited

Use of the Website is unauthorized in jurisdictions that do not enforce this Agreement.

Operation from the United States

The Website is operated from the United States and intended for U.S. users. Other countries’ laws may differ. You are responsible for complying with local laws if accessing from outside the U.S. Your data may be transferred to U.S. servers, subject to U.S. law and our Privacy Policy.

Choice of Law, Arbitration, and Forum

  • Choice of Law: This Agreement is governed by New York law, excluding conflict of law provisions.
  • Pre-Arbitration Resolution: Contact help@metaherb.us to resolve disputes. If unresolved, send a written dispute notice by certified mail.
  • Arbitration: Disputes (except small claims) will be resolved through binding arbitration under American Arbitration Association (AAA) consumer rules, conducted individually, not as a class action. The Federal Arbitration Act applies. You may reject future arbitration changes within 30 days. If arbitration is unenforceable, disputes will be litigated in a court in Middletown, New York.
  • Confidentiality: Arbitration proceedings are confidential.

Unsolicited Materials

MetaHerb does not accept unsolicited proprietary information. By submitting content, you grant MetaHerb a royalty-free, perpetual, worldwide license to use, modify, and distribute it. You warrant the content is original and waive any moral rights.

Miscellaneous

  • Invalid provisions will be replaced with enforceable ones matching the original intent.
  • No delay in enforcement waives MetaHerb’s rights.
  • Claims must be filed within one year of arising.
  • MetaHerb may recover legal fees for enforcing this Agreement.
  • You may not assign this Agreement without MetaHerb’s consent. MetaHerb may assign its rights with notice.
